Romantik Hotels & Restaurants has been transformed into a stock corporation not listed on the stock exchange. Romantik anticipates the internationally recognized legal form to have a positive impact on its quality-oriented expansion in Europe.

Frankfurt, Germany -- Sep 03, 2010 / (http://www.myprgenie.com) -- The year 2010 signals a milestone in the development of the European hotel cooperation which has shown continuous growth in recent years, and presently accounts for 205 hotels in 10 European countries. With its transformation into a stock corporation not listed on the stock exchange, the Romantik Hotels & Restaurants AG, with headquarters in Frankfurt am Main, Germany, presents itself as an internationally oriented company.

The chairman of the board of directors, Roland Zadra, justifies the change of the legal form by the fact that the GmbH & Co. KG is almost unknown in high-growth countries such as France, Italy, Switzerland and Spain. "Our communication with potential members and business partners within Europe has shown that an internationally recognised legal form synonymous with integrity, transparency and stability, is beneficial for the cooperation."

In the 38 years of its existence, Romantik Hotels & Restaurants have adapted strategically to the requirements of the international hotel business. The foundation was laid at the beginning of the 1970s by eight private hotel owners who had the vision of creating an alternative to the large-scale hotel chains. In the course of time, Romantik Hotels & Restaurants GmbH & Co. KG became the international marketing organisation for its sophisticated, medium-sized member hotels. During the International Members' Meeting on 27 April 2009 in Wiesbaden, the Romantik Hotel owners took the decision to transform this company into a stock corporation.

Shareholders can be natural persons, ordinary partnerships or legal entities who own, manage, operate or have a share in a hotel and/or restaurant. Registered shares are issued in blocks of EUR2,500 each. The bylaws stipulate the issue of already up to 100 new blocks of shares. The current capital stock amounts to EUR490,000.

The former President Roland Zadra and the Managing Director Inge Struckmeier have been appointed members of the Board of Directors. The Supervisory Board consists of nine members who were elected during the Annual General Meeting. The Salzburg attorney Dr. Florian Kreibich has been appointed Chairman of the Supervisory Board, and the hotel owner Achim Kniese from Bad Hersfeld has been appointed Vice Chairman. The remaining members of the Supervisory Board come from Switzerland, Germany, France, the Netherlands and Italy.

The purpose of the business has remained unchanged and focuses on promoting medium-sized, historical and privately owned hotels and restaurants, as well as on the international marketing of the brand. "In the new organisation the influence of the owners will remain unchanged", underlines Inge Struckmeier. "The shareholders can exercise their voting rights in key matters, such as the use of the annual net profit, the staffing of the Supervisory Board as well as the increase in the marketing and administrative allocations."
